Participants may use limited identifiers, but Onward cannot guarantee anonymity or confidentiality, including against disclosure by other participants. Sessions will not be recorded or transcribed without appropriate notice and consent. Onward may moderate sessions but cannot guarantee participant conduct. Support groups are not emergency or crisis services; users facing immediate danger should contact appropriate emergency resources.

3. USER CONTENT

3.1 User Content. “User Content” means any and all information and content that a user submits to, uploads to, or uses with, the Site (e.g., content in the user’s profile or postings). User Content shall include any content that the Site collects on your behalf from any Third-Party Platform (as defined below) that Users have uploaded or stored on the Site or provided to Onward. Onward owns all right, title, and interest in and to Service Data.

You hereby grant (and you represent and warrant that you have the right to grant) to Onward a nonexclusive, royalty-free, worldwide license to host, store, process, transmit, and use your User Content, and to grant sublicenses of the foregoing rights, solely to the extent necessary to (a) provide, operate, maintain, secure, support, and improve the Site and the services you request; (b) enforce these Terms; (c) comply with applicable laws; and (d) operate Onward’s AI Tools (as defined herein) for your benefit. Notwithstanding the foregoing, the license in this Section 3.3 does not apply to personally identifiable information comprised within any User Content (“Personal Information”) governed by our Privacy Policy or raw financial information obtained through Plaid. Onward may process that information only to provide, maintain, support, and secure the Site; fulfill the purposes disclosed when the information was collected; comply with applicable law; and as otherwise described in our Privacy Policy and the authorization you provide.

(b) In addition, you agree not to: (i) upload, transmit, or distribute to or through the Site any computer viruses, worms, or any software intended to damage or alter a computer system or data; (ii) send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise; (iii) use the Site to harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site, or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Site (or to other computer systems or networks connected to or used together with the Site), whether through password mining or any other means; (vi) harass or interfere with any other user’s use and enjoyment of the Site; or (vii) use software or automated agents or scripts to produce multiple accounts on the Site, or to generate automated searches, requests, or queries to (or to strip, scrape, or mine data from) the Site (provided, however, that we conditionally grant to the operators of public search engines revocable permission to use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials, subject to the parameters set forth in our robots.txt file).

3.5 Enforcement. We reserve the right (but have no obligation) to review, refuse and/or remove any User Content in our sole discretion, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Acceptable Use Policy or any other provision of these Terms or otherwise create liability for us or any other person. Such action may include removing or modifying your User Content, terminating your Account in accordance with Section 13, and/or reporting you to law enforcement authorities.

4. FEES AND PAYMENT

4.1 Payment Terms. In consideration for access to the Site through which any service is delivered, and the rights and other consideration granted hereunder, you shall pay Onward the fees specified at the time you initiate your Account, or any Add-On Feature (as defined herein), in addition to any other fees, expenses, or charges specified on the Site (the “Fees”). If you are not satisfied with Onward’s Site, you may request a full refund of any Fees paid by submitting a request through the Site within thirty (30) days after the date of payment of the applicable Fee. Upon timely receipt of the request, Onward will issue the full refund within a reasonable amount of time in accordance with this Section 4. Onward reserves the right to change its fees, plans, or adjust pricing for the services or any components thereof, including any Add-On Feature, in any manner upon at least 30 days’ advance notice to you.

4.2 Add-On Features. Onward may offer additional subscription types, plans, add-on features, or other services through the Site that expand the scope of the services provided (collectively, “Add-On Features”). Add-On Features may incur additional Fees and may be subject to any additional terms and conditions specified by Onward at the time of purchase.

4.3 Credit Card Payments. Unless otherwise agreed by Onward in writing, all Fees will be collected by credit card or other payment card. You hereby authorize Onward (and its third-party payment processors) to charge the applicable card provided to Onward for all Fees and other amounts due under these Terms as and when they become payable. You represent and warrant that you are authorized to use the card provided and agree to keep your card and billing information current, complete, and accurate. You can update your payment card through your primary account. You authorize Onward to update stored card information using any account updater services provided by the applicable card networks or issuing banks. If a charge is declined or cannot be processed, Onward may retry the charge and/or invoice you for the amount due, and such amount shall be subject to Section 4.5. You are responsible for any fees, surcharges, or costs imposed by Onward’s payment processor or the applicable card network in connection with card payments, to the extent permitted by applicable law. Your authorization under this Section will remain in effect until all amounts due under these Terms have been paid in full.

4.4 Payment of Taxes. You are responsible for any applicable taxes associated with your purchase or use of the Site, excluding taxes based on Onward’s income.

4.5 Effect of Non-Payment. Fees are payable in advance at the time of purchase. If any payment is declined, fails, or is reversed (including through a chargeback), Onward may suspend your access to the Site or the applicable Add-On Feature until the amount due is paid in full, and may terminate your Account in accordance with Section 13 if the amount remains unpaid after 30 days.

5. INDEMNIFICATION

You agree to indemnify and hold Onward (and its officers, employees, and agents) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your violation of applicable laws or regulations or (d) your User Content. Onward reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Onward. Onward will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

6. THIRD-PARTY LINKS AND PLATFORMS; OTHER USERS

6.1 Third-Party Links. The Site may contain links to third-party websites, services, and resources (“Third-Party Links”). Third-Party Links are not under Onward’s control, are provided only as a convenience, and Onward does not endorse or make any representations about them. Your use of any Third-Party Link is at your own risk and is governed by the applicable third party’s terms and policies, including its privacy practices. Financial account connection services made available through the Site are additionally governed by the “Linked Financial Accounts” section of these Terms and our Privacy Policy.

6.2 Integrations with Third-Party Platforms. The Site may allow you to connect to, and/or upload data from, certain Third-Party Platforms. To take advantage of such Third-Party Platforms, you may be required to register for or log into such Third-Party Platforms on their respective websites. By accessing or enabling a Third-Party Platform, (a) you represent and warrant that you have all necessary rights, permissions, and authorizations to connect the Site to such Third-Party Platform; (b) you authorize and instruct Onward to enable integrations with Third-Party Platforms, to enter into Third-Party Platform Terms for the purpose of enabling such integrations, and to process any data accessed via such integrations on your behalf; and (c) you acknowledge and agree that you are solely responsible for compliance with any applicable Third-Party Platform Terms. “Third-Party Platform” as used herein shall mean third-party platforms and integrations supported by the Site that you desire to connect to, access or use, or authorize a third party to connect to, access and/or use through the Site. “Third-Party Platform Terms” as used herein shall mean the terms and conditions, acceptable use policies, privacy policies, developer policies, or any other similar policies or terms of any Third-Party Platform.

6.3 Use of Third-Party Platforms. You acknowledge that any use of Third-Party Platforms is governed solely by the applicable Third-Party Platform Terms, and Onward does not endorse, is not responsible for, and makes no representations as to any Third-Party Platform, its availability, content, or the manner in which any Third-Party Platform handles your data. Onward is not liable for any damage or loss arising from, or in connection with, your access to or use of any Third-Party Platform, or your reliance on the practices or policies of any Third-Party Platform. You acknowledge that Onward does not control the availability, features, or functionality of any Third-Party Platform and that a Third-Party Platform may change its availability, features, or functionality without any notice to Onward or you. Onward shall not be liable to you for any refunds, liability, damage or loss arising from, or in connection with, any Third-Party Platform, including any unavailability or changes made by a Third-Party Platform or any resulting changes to the Site.

6.4 Other Users. Each Site user is solely responsible for any and all of its own User Content. Since we do not control User Content, you acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others. We make no guarantees regarding the accuracy, currency, suitability, appropriateness, or quality of any User Content. Your interactions with other Site users are solely between you and such users. You agree that Onward will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any Site user, we are under no obligation to become involved.

6.5 Release. You hereby release and forever discharge Onward (and our officers, employees, agents, successors, and assigns) from, and hereby waive to the fullest extent permitted by applicable law, any claims existing on or after the date you accept these Terms arising directly or indirectly out of, or that relates directly or indirectly to, the Site (including any interactions with, or act or omission of, other Site users or any Third-Party Links). IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” This release does not apply to claims arising from Onward’s fraud, willful misconduct, gross negligence, violation of law, or any rights that cannot lawfully be waived.

7. LEGAL AND FINANCIAL DISCLAIMER

7.1 Onward may help populate certain financial disclosure forms and provide general filing or service instructions. Onward is not a law firm, does not provide legal advice, and does not guarantee court acceptance. You remain responsible for reviewing all documents, meeting deadlines, obtaining signatures, paying fees, and complying with filing and service requirements. If you authorize an independent attorney to access your account, that attorney’s services will be governed by a separate agreement. Onward does not supervise the attorney or participate in the attorney-client relationship.

7.2 You may connect financial accounts, upload records, or manually enter information concerning income, expenses, assets, and debts. You represent that you are authorized to provide this information. Onward may use it to create financial summaries, including marital balance sheets and statements of net worth. Outputs depend on information supplied by you and third parties, are not audited, and do not constitute legal, tax, accounting, investment, or financial advice. You must verify all information before relying on or exporting it.

7.3 No Warranties; Assumption of Risk. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL LEGAL AND FINANCIAL FEATURES OF THE SITE, INCLUDING ALL FORMS, TEMPLATES, FINANCIAL OUTPUTS, INSTRUCTIONS, AND RELATED CONTENT, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ONWARD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT USE OF THE SITE WILL ACHIEVE ANY LEGAL, FINANCIAL, OR OTHER RESULT. YOU ACKNOWLEDGE THAT FAMILY LAW, DIVORCE, AND FINANCIAL MATTERS ARE COMPLEX AND FACT-SPECIFIC, THAT YOU SHOULD CONSULT A QUALIFIED ATTORNEY, ACCOUNTANT, OR FINANCIAL PROFESSIONAL BEFORE MAKING ANY DECISION, AND THAT YOU ASSUME ALL RISK ARISING FROM YOUR USE OF OR RELIANCE ON THE SITE. THIS SECTION SUPPLEMENTS, AND DOES NOT LIMIT, THE DISCLAIMERS AND LIMITATION ON LIABILITY SECTIONS OF THESE TERMS.

8. REFERRALS

8.1 The Site may provide recommendations, matches, listings, introductions, referrals, or other information regarding third-party products, services, professionals, providers, businesses, organizations, or resources. Such recommendations or referrals are provided for general informational purposes only and do not constitute professional advice, an endorsement, a guarantee of suitability, quality, availability, eligibility, or outcome, or a representation that any provider or resource is appropriate for your circumstances. You are solely responsible for independently evaluating any recommendation, referral, provider, product, service, or resource before relying on it or entering into any transaction or relationship.

8.2 You acknowledge that Onward may have referral, affiliate, ownership, or compensation-based relationships with third-party entities, providers, or resources identified through the Site. With your consent, your contact information and related information may be shared with affiliated entities and other third parties to facilitate recommendations, referrals, and follow-up communications. Onward does not control, and is not responsible for, any third-party or affiliated entity’s acts, omissions, services, advice, representations, fees, policies, or practices.

9. USE OF AI ASSISTANT

9.1 The Site includes an artificial intelligence-powered assistant or similar automated conversational tool (the “AI Assistant”) that (i) generates responses, guidance, suggestions, or recommendations, and (ii) collects information you provide and may generate responses, guidance, suggestions, or recommendations based on that information. By interacting with the AI Assistant, you acknowledge and agree to the following:

(a) Informational Purposes Only; No Professional Advice. The AI Assistant is provided for general informational purposes only. Any output generated by the AI Assistant does not constitute, and is not a substitute for, professional, legal, financial, or other expert advice. No fiduciary, advisory, or professional-client relationship is created by your use of the AI Assistant. You should not rely on the AI Assistant as the sole basis for any decision and should consult a qualified professional before acting on any information it provides.

(b) Accuracy and Limitations. The AI Assistant generates responses using automated methods and may produce information that is inaccurate, incomplete, outdated, or otherwise unreliable. We do not warrant or guarantee the accuracy, completeness, reliability, or suitability of any output produced by the AI Assistant, and any reliance on such output is at your own risk. The AI Assistant may not understand or correctly interpret your inputs, and its responses may not reflect your specific circumstances.

(c) No Guarantee of Outcomes. Any guidance or recommendation provided by the AI Assistant is not a promise, guarantee, or assurance of any particular result, outcome, eligibility, or availability of any product or service. We are not responsible for how you use, or the consequences of your reliance on, any output of the AI Assistant.

(d) Information You Provide. You acknowledge and agree that, notwithstanding anything to the contrary herein, we may use interactions with the AI Assistant, including inputs, outputs, and related data to operate, provide, maintain, evaluate, train, test, improve, and develop the AI Assistant and Onward’s underlying technologies and models. You are responsible for the information you provide and should not submit any confidential, sensitive, or proprietary information to the AI Assistant.

(e) Human Review and Modification. You agree to evaluate the output of the AI Assistant for accuracy and appropriateness for each applicable use case, including using human review as appropriate before using or sharing results. We may, but are under no obligation to, review, monitor, or verify interactions with the AI Assistant. We reserve the right to modify, suspend, or discontinue the AI Assistant at any time without notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AI ASSISTANT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, AND THE DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY SECTIONS OF THESE TERMS APPLY FULLY TO YOUR USE OF THE AI ASSISTANT. YOU ASSUME ALL RISK FOR ANY DECISIONS, ACTIONS, OR OMISSIONS BASED ON AI ASSISTANT OUTPUT.

10. USE OF AI TOOLS; AI-GENERATED OUTPUT

10.1 You understand that the Site may utilize artificial intelligence and machine learning technologies (the “AI Tools”) to perform certain tasks, including but not limited to offering recommendations related to the Site. For the avoidance of doubt, the AI Assistant shall be considered an AI Tool. The term “AI-generated Output” means actions, recommendations, communications, and other responses generated by the AI Tools through the Site. By using the Site, you acknowledge and agree that: (i) AI-generated Outputs may contain errors, inaccuracies, biases, or other defects; (ii) the quality of the AI-generated Output is dependent upon the quality, completeness, readability, and organization of the User Content; (iii) AI Tools may produce results that are inconsistent, unpredictable, or inappropriate for your intended use; and (iv) you bear sole responsibility for reviewing, validating, and verifying all AI-generated Outputs before use or reliance thereon. The Site allows you to determine the extent to which use and implementation of the AI Tools requires human review. You understand and agree that any use or implementation of any AI-generated Outputs without human review is at your own risk. ONWARD HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN RELATION TO THE AI TOOLS AND AI-GENERATED OUTPUT, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

11. DISCLAIMERS

THE SITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND ONWARD (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. NOTWITHSTANDING THE FOREGOING, IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SITE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO 90 DAYS FROM THE DATE OF FIRST USE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

12. LIMITATION ON LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONWARD (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ONWARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) ONE HUNDRED DOLLARS ($100), AND (B) THE FEES PAID TO ONWARD BY YOU IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

13. TERM AND TERMINATION

Subject to this Section, these Terms will remain in full force and effect while you use the Site. You may cancel at any time. To cancel, you must go to the Settings page and follow the cancellation instructions therein. We may suspend or terminate your rights to use the Site (including your Account) at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of your rights under these Terms, your Account and right to access and use the Site will terminate immediately. You understand that any termination of your Account may involve deletion of your User Content associated with your Account from our live databases. Onward will not have any liability whatsoever to you for any termination of your rights under these Terms, including for termination of your Account or deletion of your User Content. Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2.2 through 2.7, Sections 3 through 15.

13.1 Effects of Termination. Upon any termination or cancellation of these Terms: (a) all rights granted to you hereunder shall immediately terminate and Onward shall no longer provide you access to the Site; (b) you shall immediately cease using the Site; and (c) Onward will have no obligation to maintain or provide any User Content, and may thereafter delete or destroy all copies of User Content in its systems or otherwise in its possession or control, unless legally prohibited, in accordance with its standard procedures. Any provisions which by their nature or context are intended to survive expiration or termination of these Terms shall so survive.

14. ARBITRATION

14.1 PLEASE READ THIS SECTION CAREFULLY, AS IT REQUIRES YOU TO ARBITRATE DISPUTES WITH ONWARD, AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM ONWARD, INCLUDING A LIMITATION ON THE RIGHT TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM.

14.2 Onward believes that arbitration is a faster, more convenient, and less expensive way to resolve any disputes or disagreements between you and Onward. Onward will make every reasonable effort to informally resolve any complaints, disputes, or disagreements. If those efforts fail, you agree that any complaint, dispute, or disagreement you may have against Onward, and any claim that Onward may have against you, arising out of, relating to, or connected in any way with these Terms shall be resolved exclusively by final, confidential, and binding arbitration (“Arbitration”) before a single arbitrator administered by JAMS or its successor (“JAMS”) and conducted in accordance with the JAMS Streamlined Arbitration Rules And Procedures in effect at the time the Arbitration is initiated or, if the amount in controversy exceeds $100,000, then in accordance with the JAMS Comprehensive Arbitration Rules And Procedures then in effect (respectively, the “Applicable Rules”). The Arbitration can resolve only your or Onward’s individual claims, and the arbitrator shall have no authority to entertain or arbitrate any claims on a class or representative basis, or to consolidate or join the claims of other persons or parties who may be similarly situated. The Applicable Rules can be found at www.jamsadr.com. The Arbitration will be conducted in Delaware, unless you and Onward mutually agree otherwise.

14.3 Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. This section shall not prevent any party from seeking provisional remedies (that is, a temporary restraining order or preliminary injunction) from a court of appropriate jurisdiction.

14.4 ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS ONWARD AGREES OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND ONWARD ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

14.5 Notwithstanding the foregoing, you have the right to opt-out and not be bound by this arbitration provision by sending written notice of your decision to opt-out to support@onward.life. The written notice must be emailed within thirty (30) days of the date you first accept these Terms (the “Effective Date”). Your written notification must include: (1) your name, your physical postal address, (2) your email address, and (3) a clear statement that you do not wish to resolve disputes with Onward through arbitration. Otherwise, you shall be bound to arbitrate any disputes, claims, or controversies in accordance with the terms of this Section. If you opt out of this arbitration provision, Onward also will not be bound by it. If you do not affirmatively elect to opt out as described above, your use of the Site will be deemed to be your irrevocable acceptance of this Section.

15. GENERAL

15.1 Changes. These Terms are subject to occasional revision, and if Onward makes any substantial changes, Onward may notify you by sending an e-mail to the last e-mail address you provided to Onward, and/or by prominently posting notice of the changes on the Site. You are responsible for providing Onward with your most current e-mail address. In the event that the last e-mail address that you have provided Onward is not valid, or for any reason is not capable of delivering to you the notice described above, Onward’s dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective upon the earlier of thirty (30) calendar days following Onward’s dispatch of an e-mail notice to you (if applicable) or thirty (30) calendar days following Onward’s posting of notice of the changes on the Site. These changes will be effective immediately for new users of the Site. Continued use of the Site following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

15.2 Export. The Site may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from Onward, or any products utilizing such data, in violation of the United States export laws or regulations.

15.3 Disclosures. Onward is located at 1905 Sherman Street Ste 200 1493, Denver, CO 80203. If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Product of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

15.4 Electronic Communications. The communications between you and Onward use electronic means, whether you use the Site or send us emails, or whether Onward posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Onward in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Onward provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in a hardcopy writing. The foregoing does not affect your non-waivable rights.

15.5 No Guarantee of Service. Although Onward hopes to make the Site available at all times, there may be times when Onward needs to disable the Site either temporarily or permanently. Onward reserves the right to discontinue, change, suspend, remove, and/or disable access to the Site and to impose limits on the use of or access to the Site, in each case at any time and without notice or liability. In no event will Onward be liable for changes to pricing or the discontinuance, modification, suspension, or removal of, or disabling of access to, the Site at any time and/or for any period of time.

15.6 Survival. Any provision of these Terms which expressly or by its nature survives termination or expiration, or which contemplates performance or observance subsequent to termination or expiration of these Terms, will survive expiration or termination of these Terms for any reason, including but not limited to provisions related to indemnification, limitation of liability, payment, arbitration, and proprietary rights.

15.7 Entire Terms. These Terms and any action related thereto will be governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Subject to Section 14, any action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware, and you and Onward consent to the jurisdiction of such courts. These Terms constitute the entire agreement between you and us regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and Onward. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Onward’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Onward may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.
